BDO Financial Services team specialists are on hand to support transactions within the financial services sector every step of the way, covering strategy, M&A, valuation, financial analysis and business planning, due diligence, restructuring and separation/integration support. As part of BDO’s Global FS Corporate Finance practice, the German team can draw on expertise in the core global and European markets for banks, asset managers and insurance providers.

The transaction services we offer cover everything from traditional company acquisitions (share deals, asset deals, joint ventures) to disposals/acquisitions of company units (carve-outs) and sales of loan portfolios and individual loans.

Buy-side advice

The experts at BDO assume the perspective of the buyer and analyse the financial risks and opportunities posed by a company being considered for a merger or acquisition. They calculate the long-term returns, analyse annual accounts and perform plausibility checks on business plans. An analysis of the market and competitive conditions of the target company also forms part of its extensive research. Financial due diligence is offered hand-in-hand with regulatory due diligence, real estate due diligence, tax due diligence and legal due diligence (BDO Legal). Our clients can rely on a high level of interdisciplinarity. The advisory services offered by the BDO Financial Services team do not just stop at due diligence reporting. The focus is in fact on taking the knowledge gained from the due diligence stage and using this to inform the economic aspects of the contract negotiations, especially when it comes to purchase price adjustment clauses or reps and warranties. Even after the contract has been signed, we continue to offer our clients the same level of support, we provided up to signing, in particular whilst closing accounts are being drawn up and reviewed or at the PPA stage.

Sell-side advice

As well as being perfectly placed to offer support on the buy side, the experts of the BDO Financial Services team also have many satisfied clients from the financial services sector on the sell side. We frequently assist with vendor due diligence, a financial fact book or an information memorandum.

ECM, DCM & asset-backed transactions

Having been a Deutsche Börse Listing Partner for many years now, BDO understands companies' financial needs and the requirements of financing banks. For equity capital market (ECM) transactions, we provide assistance with initial public offerings (IPOs), capital increases, squeeze-outs and so much more. We work with underwriters (arrangers, book runners, lead managers) and issuers of mezzanine capital on debt capital market (DCM) transactions. Our due diligences reduce the chance of information asymmetries between the underwriter, issuer and investor by ensuring transparency as far as the issuing company is concerned and by commenting on the plausibility of business plans and debt service coverage. We can also advise on preparations for loan securitisation and provide support for asset-backed transactions (including STS securitisation).

Portfolio advisory services and distressed assets solutions

As a team, we have advised buyers and sellers alike on a wide range of loan portfolio transactions on an international scale. We have experience in the preparation of transactions, the assessment of the quality of loan portfolios, the underlying securities (including real estate and ships) and valuation as well as the analysis of individual loans and debtors. Our services also include offering our support for the management and control of portfolios by banks, servicers and collection managers.

Restructuring and stabilisation

Our team of experts here offers support to market players in the financial sector, shareholders, investors and the public authorities within the framework of numerous projects relating to the stabilisation, restructuring and liquidation of companies and other structures on the financial and capital market. Alongside the development of customised solutions for sensitive and critical situations, this also includes assessments and reappraisals of specific facts on the causes of crises. Our team boasts extensive experience in developing approaches and concepts for restructuring projects within the financial sector and we are continuing to build on this expertise in our current projects. Our specialist knowledge of complex securitisation and the underlying structures and processes is all part of this.

Recovery and resolution planning (RRP)

Supervisory requirements mean that banks have to draw up recovery plans and provide comprehensive information during resolution planning. We help banks in Germany and the rest of Europe to create these recovery plans and ensure compliance with the supervisory requirements in place for resolution planning. Our experts have representatives within the relevant supervisory and professional working groups.
